Binding Agreement Between User and AquriX

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”) and AquriX KSA (“AquriX”, “we”, “our”, or “us”) governing your access to and use of the AquriX platform, including all associated software, tools, microservices, websites, interfaces, and related services (collectively, the “Platform” or “Services”).

By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms. If you are accessing or using the Services on behalf of a legal entity, you represent and warrant that you are authorized to bind such entity to these Terms.

If you do not agree to these Terms in full, you must not access or use the Platform.

1. Definitions

• “Platform” refers to the AquriX system and infrastructure, including web interfaces, APIs, embedded tools, software components, and related microservices.

• “User” means any individual or legal entity that accesses, registers for, or uses the Platform.

• “User Data” means any information, content, or material submitted, uploaded, stored, or processed by a User through the Platform.

• “Micro-tools” refers to modular tools, features, or processors within the Platform, including those that operate through API or external service interfaces.

2. Acceptance of Terms

Your access to and use of the Platform is conditional upon your acceptance of these Terms. Your continued use of the Services following any updates to these Terms constitutes binding acceptance of such modifications.

3. Eligibility

Use of the Platform is limited to individuals who are at least 18 years old or legally capable of entering into binding agreements under applicable law. By registering, you confirm that you meet this eligibility requirement.

4. Account Registration

You may be required to register an account to access certain features of the Platform. You agree to provide complete, accurate, and up-to-date information and to maintain the confidentiality of your login credentials. You are solely responsible for all activity under your account.

5. Use of the Platform

You are granted a limited, revocable, non-exclusive, non-transferable license to use the Platform for lawful purposes related to data analysis and market research.

You agree not to:

• Violate applicable local or international laws;

• Upload unlawful, prohibited, or sensitive government-classified data;

• Transmit malicious code or unauthorized access attempts;

• Interfere with the operation of the Platform or the data of other users.

6. Data Use, Processing, and Tool Interactions

6.1. User Data Ownership

All data uploaded by you remains your sole property. By uploading data, you grant AquriX a limited license to process such data solely for the purpose of delivering Services to you.

AquriX does not monetize, commercialize, or sell User Data to third parties. We do not derive revenue from data content; our revenue is derived from access to tools that analyze data, not from the data itself.

6.2. Micro-Tools with Data Dependencies

Certain Platform features, known as micro-tools, operate directly on data uploaded by the User. These tools may perform local computations or trigger external logic via secure protocols. While AquriX employs strict controls, Users are advised that:

• These tools may process data dynamically for analytics or presentation functions.

• Users must not upload data that is classified, contains state secrets, or is otherwise prohibited from being handled via programmable interfaces.

6.3. Micro-Tools Utilizing API Connectivity

Some micro-tools connect to vetted third-party services or modules via APIs for specific functionality (e.g., document formatting, statistical inference, image parsing). While AquriX enforces data minimization and memory-only processing:

• These APIs are not under AquriX’s direct control.

• Users must not upload personally identifiable, confidential, financial, or highly sensitive data into such tools unless lawfully permitted to do so and with full understanding of the technical transmission pathway.

• Use of these tools constitutes acknowledgment of this limitation and assumption of associated risks.

7. Intellectual Property Rights

All rights to the Platform, including software code, interface design, trademarks, trade secrets, and analytics models, remain the exclusive property of AquriX and its licensors.

You may not reproduce, distribute, reverse engineer, or create derivative works without our prior written consent.

You retain rights to your own uploaded content but grant AquriX a limited license to process and display it within the scope of Services.

8. Privacy and Security

Our data processing practices are governed by our Privacy Policy. By using the Platform, you consent to the collection, use, and processing of your information in accordance with applicable laws and our stated practices.

While AquriX employs robust security protocols (encryption, access control, audit trails), you acknowledge that no system is immune to risks, and use of the Platform is undertaken at your discretion and risk.

9. Accuracy of Model Outputs

The Platform may generate AI-based analysis, visualizations, or predictive outputs. These are statistical estimations and may not reflect current or real-time facts. You agree that:

• Outputs are informational and not a substitute for professional advice.

• Results may contain inaccuracies, hallucinations, or data inconsistencies.

• You are solely responsible for interpreting and verifying results prior to reliance.

10. Limitation of Liability and Disclaimers

AquriX provides all Services “as is” without warranty of any kind. To the maximum extent permitted by law:

• AquriX disclaims liability for any indirect, incidental, consequential, or punitive damages.

• AquriX shall not be liable for any loss of data, revenue, profits, or opportunity arising from the use of the Platform.

• AquriX assumes no responsibility for the performance, security, legality, or reliability of third-party APIs or vendors accessed via micro-tools.

• You expressly acknowledge and agree that use of any micro-tool involving third-party connectivity is at your sole risk.

11. Indemnification

You agree to indemnify and hold harmless AquriX, its affiliates, officers, directors, and employees from any claim, liability, damage, loss, or expense arising out of:

• Your use of the Platform;

• Violation of these Terms;

• Upload of data that violates applicable law or third-party rights;

• Use of third-party APIs or connected services in violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your account at any time without prior notice if we believe you have violated these Terms or endangered Platform integrity.

Upon termination, access to your account and stored data may be revoked, and we may delete such data unless retention is legally required.

13. Governing Law

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any dispute shall be resolved exclusively by the competent courts of Riyadh.

14. Modifications

We may amend these Terms from time to time. Updates will be posted to the Platform. Continued use after updates constitutes acceptance of the revised Terms.
